Terms of Service

This Terms of Service agreement ("Agreement") is entered into by and between MimoCAD Inc, a New York corporation ("Company," "we," "us," or "our"), and the user ("you" or "your") of the MimoCAD application ("Service"). By accessing or using the Service, you agree to be bound by the terms and conditions outlined in this Agreement. If you do not agree to these terms, please do not use the Service.

  1. Access to the Service
    1. Payment and Subscription: You agree to pay the applicable fees for the subscription plan you select. Access to the Service will be granted upon successful payment processing.
    2. Grace Period: In the event of a failure to renew your subscription, you will be granted a thirty (30) day grace period during which you will still have access to the Service. After this grace period, your access to the Service may be suspended until payment is received.
    3. Service Availability: We will make commercially reasonable efforts to ensure the availability of the Service. However, we do not guarantee uninterrupted or error-free access to the Service, and we reserve the right to temporarily suspend or restrict access for maintenance, upgrades, or other reasons without prior notice.
  2. User Responsibilities
    1. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach of your account.
    2. Compliance: You agree to use the Service in compliance with all applicable laws, regulations, and this Agreement. You shall not engage in any activity that may disrupt or interfere with the proper functioning of the Service.
  3. Intellectual Property
    1. Ownership: All intellectual property rights in the Service, including but not limited to copyrights, trademarks, and trade secrets, are owned by the Company. You are granted a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.
  4. Termination
    1. Termination by Company: We reserve the right to terminate or suspend your access to the Service at our discretion, with or without cause, including but not limited to non-payment or violation of this Agreement.
    2. Effect of Termination: Upon termination, your access to the Service will be immediately revoked, and you shall cease all use of the Service.
  5. Limitation of Liability
    1. Disclaimer: The Service is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of the Service.
    2. Limitation of Liability: In no event shall the Company be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of the Service.
  6. Miscellaneous
    1. Amendments: We reserve the right to modify this Agreement at any time. Any changes will be effective upon posting the revised Agreement on our website. Your continued use of the Service after such modifications constitutes acceptance of the updated terms.
    2. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of New York.
